"Take or Pay" clauses and the law of penalties

In this briefing on the Cavendish Square Holding BV v Talal El Makdessi and the ParkingEye Limited v Beavis [2015] UKSC 67 Judgment, Henry Byam-Cook discusses the implication for "Take or Pay" clauses frequently used within the energy sector.

One area of uncertainty under English law previously has been whether they could be struck down as an unenforceable penalty. The recent decision of the Supreme Court in Cavendish Square Holding BV v Makdessi [2015] UKSC 67 has provided useful guidance on this point and indicates that English law will adopt a supportive attitude to such clauses.
